Job Description

Our client is a Microfinance Institition registered as NBFC MFI with RBI. As part of the business activities,the company is predominantly focused into providing micro credit services to low income households and economically active urban poor.

Reporting to VP Finance

JOB RESPONSIBILITIES

Looking for a person to head the Company Secretarial role

Assist in organizing, preparing Agendas for & taking minutes of Board & General Meetings

Maintaining statutory books including statutory books, including Register of Members, Directors etc.,

Ensure compliance with the statutory requirements and regulations prescribed under the Companies Act, FEMA, FDI, RBI and all other applicable legislation

Establish and drive implementation of Corporate Governance norms to ensure transparency in all operations

Liaise and build relations with the Registrar of Companies, RBI, CLB, CLT, Depositories, and other statutory authorities Periodically provide returns forms required by them

Liaise and coordinate with the NSDL, CDSL, Share Transfer Agents and Registrars etc. of the Organization for transfer, transmission and dematerialization of securities

Advising and guiding members of the legal, governance, labour laws, accounting & tax teams regarding statutes applicable to them

Ability to strike a balance between compliance regulatory constraints and business imperatives & good drafting and communication skills.

Excellent Negotiation & communication skills

Excellent presentation skills

Ability to interface effectively with the board of directors and conduct the board meetings

The candidate would be responsible

Handling of Audit and RBI inspection end to end

Assist in the establishment and maintenance of processes and controls within and across business groups so that the day to day business activities are in compliance with applicable laws and that any breaches of such laws, rules, regulations and internal policies are detected

Provide a proactive and expert compliance advisory service

Identify, investigate and resolve indications of violations to the Company's internal policies, systems and controls or to applicable laws, rules or regulations including labour laws and taxation

Keep abreast of regulatory developments or other matters affecting the business activities, systems and controls and Communicate changes to policies, procedures and regulatory requirements and oversee implementation thereof

Foster a partnership among the various business and support groups to create a compliant business environment and culture

DESIRED PROFILE

Experience in NBFC or NBFC MFI company

8+ years of experience post qualification

Qualified Company Secretary
